BREAK NEXUS CHALLENGE

OFFICIAL RULES

NO PURCHASE, PAYMENT, SALES MEETING, OR PRODUCT DEMONSTRATION IS NECESSARY TO ENTER OR RECEIVE AN AWARD. A PURCHASE OR COMMERCIAL RELATIONSHIP WILL NOT IMPROVE AN ENTRANT’S CHANCES OF SELECTION.

THE BREAK NEXUS CHALLENGE IS A SKILL-BASED PROMOTIONAL CHALLENGE. PARTICIPANTS ARE NOT SELECTED AT RANDOM.

VOID IN QUEBEC AND WHERE PROHIBITED OR RESTRICTED BY LAW.

1. Sponsor

The Break Nexus Challenge (“Challenge”) is sponsored by White Cup, Inc., 7154 W State Street #404 Garden City, ID 83714, United States (“Sponsor” or “White Cup”).

The Challenge is not sponsored, endorsed, administered by, or associated with Giftogram, any participating gift-card issuer, any charitable organization, or any platform through which the Challenge may be promoted.

2. Challenge Period

Challenge begins at 12:01 AM Eastern Time on August 14, 2026, and ends at 11:59 p.m. Eastern Time on September 15, 2026.

Sponsor’s computer systems are the official timekeeping devices.

3. Eligibility

Challenge is open only to individuals who, at the time of entry:

  1. Are legal residents of one of the fifty United States, the District of Columbia, or Canada, excluding Quebec;
  2. Have reached the age of majority in their place of residence;
  3. Are currently employed by a business engaged in wholesale distribution;
  4. Enter in their individual capacity; and
  5. Are permitted to participate and accept an award under applicable law and their employer’s policies.

Employees, officers, and directors of Sponsor; individuals involved in administering or judging the Challenge; their immediate family and household members; government and public-sector employees; and individuals prohibited from participating or accepting an award under applicable law or employer policy are not eligible.

Existing White Cup customers and employees of prospective White Cup customers may enter if they otherwise meet these requirements. Customer status, prospect status, sales activity, or attendance at a demonstration  will not affect selection or the determination of whether Nexus answered a question.

4. How to Enter

Visit whitecupsolutions.com/break-nexus/, complete the entry form, agree to these Official Rules and the communications consent presented on the form, and submit one difficult business question that the entrant reasonably believes distribution-business data should be able to answer.

Limit one entry per person. Multiple eligible employees of the same company may enter separately.

There is no fee to enter. An entrant is not required to purchase a product, be a White Cup customer, attend a sales meeting, or participate in a demonstration.

5. Submission Requirements

An entry must present a legitimate business question relevant to wholesale distribution. Suitable questions may involve customers, products, sales, quotes, inventory, margin, purchasing behavior, reorder activity, sales-representative activity, or similar operational information.

Entrants must not submit:

  • Confidential or proprietary company information;
  • Customer, employee, consumer, or other personal information;
  • Actual customer lists, pricing, margins, credentials, account numbers, transaction records, or contract terms;
  • Trade secrets;
  • Information the entrant does not have permission to disclose;
  • Malicious code or instructions intended to access, disrupt, manipulate, or bypass systems;
  • Unlawful, defamatory, threatening, discriminatory, obscene, or infringing material; or
  • Irrelevant, automated, fraudulent, or mass-generated submissions.

Sponsor may reject, redact, quarantine, or delete an entry that violates these requirements.

Sponsor will not request or use an entrant’s private company data to test a Challenge question.

6. Selection of Questions for Testing

White Cup will select up to fifty qualifying questions for testing.

To qualify for testing, a question must:

  • Satisfy the eligibility and submission requirements in these Official Rules;
  • Present a genuine and reasonably understandable distribution-business question;
  • Be capable of meaningful testing using the types of data available in White Cup’s distribution demo environment; and
  • Not be duplicative, abusive, fraudulent, or technically impracticable to test.

If White Cup receives more than fifty qualifying questions, White Cup will select the questions it reasonably believes are the strongest Challenge questions based on their relevance to distribution, difficulty, clarity, and suitability for testing in the demo environment.

Submission does not guarantee selection or testing. Questions that are not selected for testing are not eligible for an award.

White Cup may select fewer than fifty questions if it receives fewer than fifty qualifying submissions.

7. Similar or Duplicate Questions

White Cup may treat questions presenting the same or substantially similar business challenge as duplicates.

White Cup may select one representative version of a substantially duplicated question for testing. In choosing among substantially similar questions, White Cup may consider clarity, difficulty, suitability for the demo environment, and time of receipt.

Only the entrant whose question is selected and tested is eligible for an award based on that question.

8. Clarifying or Rephrasing a Question

White Cup may contact an entrant to clarify an ambiguous submission or suggest a revised formulation that can be meaningfully tested using the demo environment.

Any suggested revision must preserve the substance and intended difficulty of the entrant’s original business challenge. White Cup will not materially simplify a question solely to make it easier for Nexus to answer.

The entrant must approve any material revision before the revised question is tested. The entrant’s written or electronic approval, including approval by email, is sufficient.

If the entrant does not respond within [FIVE] business days, White Cup may:

  • Test the original question if it can reasonably be tested;
  • Determine that the question is not suitable for testing; or
  • Select another qualifying question.

Clarification or rephrasing does not guarantee selection, testing, or an award.

9. Demo Environment

Selected questions will be tested using White Cup’s distribution demo environment, not the entrant’s private company data.

The demo environment represents common types of ERP, CRM, business-intelligence, customer, product, sales, quote, inventory, margin, purchasing, and operational data used by distributors.

A question may be determined ineligible for testing if answering it would depend materially on information that is not available in the demo environment, such as:

  • Private facts unique to the entrant’s company;
  • Future economic events;
  • Unknown competitor activity;
  • External market information not included in the demo environment; or
  • Data types that Nexus cannot access in the demo environment.

The absence of required data does not, by itself, mean that the question has broken Nexus.

10. Determining Whether a Question Breaks Nexus

Kristen Thom will serve as the Challenge judge.

A selected question breaks Nexus when:

  1. The question is eligible and can reasonably be evaluated using information available in the demo environment; and
  2. Nexus cannot provide a reasonably responsive and supportable answer to the question after being given a fair opportunity to address it.

A response does not need to use any particular wording, format, or business recommendation to constitute an answer. A response may include reasonable assumptions, qualifications, or requests for clarification.

A question may be determined to have broken Nexus if Nexus:

  • Cannot produce a substantive response;
  • Materially fails to address the business question;
  • Produces a response that is materially unsupported by the available demo data; or
  • Cannot complete the analysis after reasonable clarification.

A question does not break Nexus merely because:

  • The demo environment lacks the information required to answer it;
  • The question depends on unknowable future or external events;
  • The entrant would have preferred a different style, recommendation, or presentation;
  • Nexus provides a qualified or partial answer that reasonably addresses the material business question; or
  • A temporary technical failure occurs and White Cup is able to repeat the test.

Kristen Thom may use reasonable follow-up questions, prompt clarification, and ordinary operation of Nexus when conducting a test. The same general standard will be applied in good faith to all selected questions.

Kristen Thom’s determination is final, subject to applicable law, and must be reasonably based on these Official Rules.

11. Awards

Up to fifty Break Nexus Awards are available.

Each selected entrant whose question is determined to have broken Nexus will receive one award, subject to eligibility verification.

Each award has a value of US$250. The maximum aggregate value of all awards is US$12,500.

Awards are expected to be fulfilled through Giftogram or a comparable fulfillment provider. Depending on the fulfillment options available in the winner’s location, the winner may be able to select:

  • A participating gift card with a value of US$250; or
  • A US$250 charitable donation option made available through the fulfillment provider.

Available gift-card brands, charitable organizations, currencies, and redemption options may vary by location and are subject to the fulfillment provider’s applicable terms and availability.

If the intended fulfillment method is unavailable, White Cup may provide a reasonably comparable award of equal or greater value.

No entrant may receive more than one award. If fewer than fifty selected questions break Nexus, fewer than fifty awards will be issued.

White Cup may increase, but will not reduce, the number or value of awards after Challenge begins, provided any increase is administered lawfully and does not adversely affect entrants.

Awards are non-transferable and may not be redeemed for cash from White Cup.

12. Verification and Notification

Potential recipients are subject to verification.

White Cup may require proof of identity, age, residence, qualifying employment, compliance with employer gift policies, and any tax or eligibility documentation reasonably required by law.

White Cup expects to notify selected entrants and potential award recipients using the email address provided at entry. A potential recipient must respond within [FIVE] business days.

Failure to respond or provide reasonably requested verification may result in disqualification.

Verified awards will ordinarily be issued within [SIX TO EIGHT] weeks after the recipient completes verification.

13. Employer Policies and Taxes

Entrants are responsible for confirming that their participation and acceptance of an award comply with their employer’s policies, including gift, procurement, ethics, and conflict-of-interest policies.

A potential recipient who cannot accept a gift card may select an available charitable-donation option if permitted by the recipient’s employer and applicable law. If no permissible option is available, the award may be forfeited.

Recipients are responsible for any taxes associated with an award. White Cup may request tax information or report an award when required by law.

14. Ownership and Use of Submissions

Entrants retain any ownership rights they may have in their submitted questions.

By entering, each entrant grants White Cup a non-exclusive, worldwide, royalty-free license to:

  • Receive, store, review, and evaluate the question;
  • Clarify, edit, anonymize, and test the question;
  • Use the question and resulting analysis internally for Challenge administration, research, product evaluation, and product improvement; and
  • Present or publish the question and Challenge result anonymously.

Entries are not submitted in confidence. Entrants must not submit trade secrets, confidential information, or information subject to third-party restrictions.

White Cup may already have developed, received, or considered questions, ideas, or concepts similar to an entrant’s submission.

15. Names, Companies, Publicity, and Recordings

Entry does not require an entrant to participate in a public or recorded Challenge session.

White Cup may invite selected entrants to participate in an interview, demonstration, webinar, Zoom session, or other recording. Participation is voluntary and will not affect selection, testing, or award eligibility.

White Cup will obtain separate permission before publicly using an entrant’s:

  • Name;
  • Job title;
  • Company name or logo;
  • Identifiable image or likeness;
  • Voice;
  • Attributed quotation or testimonial; or
  • Audio or video recording.

An entrant may decline publicity or recording permission without losing an otherwise earned award. White Cup may still use the submitted question and result anonymously.

16. Privacy and Communications

White Cup will use entrants’ personal information to administer the Challenge, evaluate submissions, communicate with entrants, verify eligibility, prevent fraud, conduct testing, and deliver awards.

Information may be processed by service providers supporting the Challenge, including White Cup’s form, CRM, email, video-conferencing, hosting, professional-advisor, and award-fulfillment providers.

Agreement to these Official Rules is required to enter. 

The entry form also requests consent to receive marketing communications from White Cup. Entrants may withdraw that consent at any time using the unsubscribe link in an email. Withdrawing consent after submitting a valid entry will not invalidate the entry or affect its evaluation or eligibility for an award.

 

17. Improper Conduct

White Cup may disqualify an entrant who:

  • Misrepresents their identity or eligibility;
  • Uses automated or fraudulent entry methods;
  • Tampers with the entry or testing process;
  • Attempts unauthorized access to White Cup systems;
  • Submits prohibited material; or
  • Materially interferes with the lawful or fair administration of the Challenge.

Disqualification decisions will be based on documented conduct and will not be arbitrary.

18. Suspension or Termination

If fraud, malicious activity, technical failure, legal restriction, natural disaster, public emergency, platform failure, or another event outside White Cup’s reasonable control materially impairs the integrity, security, or lawful administration of the Challenge, White Cup may suspend, modify, or terminate the Challenge to the extent reasonably necessary and permitted by law.

White Cup will not terminate Challenge or reduce the announced award limit merely because the number of entries or potential award recipients exceeds its internal expectations.

If Challenge is terminated early, White Cup will honor awards already earned and verified and, where lawful and reasonably feasible, evaluate qualifying entries received before termination under these Official Rules.

Notice of a material suspension, modification, or termination will be posted at whitecupsolutions.com/break-nexus/.

19. Product and Demonstration Disclaimer

The Challenge is conducted in a demo environment. Challenge results do not guarantee that Nexus will produce the same result using a particular customer’s systems or data.

Results may depend on available data, data quality, system configuration, access permissions, integrations, question formulation, and business context.

Any published demonstration will identify material human clarification or editing when necessary to prevent the presentation from being misleading.

20. Limitation of Liability

To the extent permitted by law, entrants release White Cup and its affiliates, officers, directors, employees, agencies, judges, and Challenge service providers from claims arising from participation in the Challenge, acceptance or use of an award, violation of these Official Rules, or White Cup’s authorized use of a submission.

Nothing in these Official Rules excludes liability or legal rights that cannot lawfully be excluded.

21. Governing Law and Disputes

To the extent permitted by applicable law, the Challenge and these Official Rules are governed by the laws of the State of Idaho, without regard to its conflict-of-law principles.

Any dispute arising from the Challenge will be resolved in a court with lawful jurisdiction over the dispute. Nothing in these Official Rules limits any rights or remedies that cannot lawfully be waived under the laws applicable to an entrant.

22. Results and Rules

The Official Rules are available at whitecupsolutions.com/break-nexus-challenge-official-rules.

After Challenge is completed, White Cup may publish anonymized questions, results, themes, and the number of awards issued. White Cup will identify an entrant or company only with separate permission.
